課程概述

This course focuses on international commercial or financial transactions and contracts. This course will approach contracts and contractual terms from the angle of designing and bargaining for a transaction based on transaction documents from real life. Through reading and discussion of selected contracts and terms therein, this course aims to train students with ability to (1) comprehend some concepts of English contract law (e.g. misrepresentation, condition/warranty, entire agreement, exclusion clauses, and liquidated damages, etc.), (2) design contractual terms to specify rights and obligations and to control risks regarding a transaction between the parties, and (3) gain experiences in reading and revising contracts written in English. This course will largely focus on three major types of transactions: international sale of goods, share purchase agreements (used broadly for investment purposes), and loan agreement (or syndicated loan agreements). In short, this course aims to equip students with the skill and experiences not only to reactively read and revise a contractual document but also to predict and draft contractual terms to accomplish a commercial or financial deal.

The course will be conducted in English entirely. Students who are interested in this course needs to acquire sufficient English skill to read English contracts at least.

The objectives of this course include:
? Deconstruct a transaction and design contractual terms;
? Read, comprehend and evaluate contracts and contractual terms for cross-border commercial or financial transactions;
? Explain key concepts under English (common law) contract law;
? Draft and revise contract(s) and contractual term(s) written in English. 
課程要求
Students do NOT need to possess prior knowledge of English contract law, but students are expected to at least understand potential issues facing a commercial or financial transaction (e.g. international sales of goods, share purchase agreement or loan agreement, etc.) based on general understanding of Taiwan’s Civil Code (in particular, the Book of Obligation).

The course will be conducted through a combination of methods:
? Lecturing on relevant issues of English contract law;
? Learning through class discussion regarding the nature of a transaction, transactional/contractual design, meaning and construction certain terms, and the way a term is drafted;
? Group project and presentation
? Depending on the number of students, this course will mix with some group project exercises of contractual design or drafting exercise of a hypothetical commercial transaction (e.g. an insurance policy about David Beckham’s right foot or a contract to acquire COVID-19 vaccines). Where appropriate, the group project exercise will include some degrees of contract drafting (drawing on resources you can find from the Internet or libraries) and negotiation. More details will be announced on Week 1.
